Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and DocPharma Consulting LLC, a Florida limited liability company located in Miami, FL ("DocPharma," "we," "us," or "our"). By accessing or using the DocPharma mobile application, web platform, and related services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

2. Description of the Service

DocPharma provides a conference lead intelligence platform designed for pharmaceutical sales representatives, Medical Science Liaisons (MSLs), Medical Directors, and Field Medical Advisors. The Service includes, but is not limited to:

  • Badge Scanning and Lead Capture: AI-powered optical character recognition to extract contact details from conference badges, including name, title, and company affiliation.
  • Voice Notes and Auto-Transcription: Audio recording capabilities with automated speech-to-text transcription linked to captured leads.
  • AI-Powered HCP Intelligence: Automated retrieval of publicly available Healthcare Professional (HCP) data, including company pipeline information, recent news, and publication history.
  • Voice of Customer (VOC) Insights: AI-generated structured analysis of conversation themes, strategic alignment, and actionable insights.
  • AI-Drafted Follow-Up Communications: Generation of personalized follow-up emails and LinkedIn messages referencing captured conversation context.
  • Conference Reports: Automated generation of post-conference summary reports aggregating VOC themes and engagement data.

3. Eligibility

You must be at least 18 years of age and have the legal authority to enter into these Terms. By using the Service, you represent that you are a professional working in the pharmaceutical, biotech, medical device, or related healthcare industry. You further represent that your use of the Service complies with all applicable laws, regulations, and industry codes of conduct, including but not limited to FDA promotional guidelines and the PhRMA Code on Interactions with Healthcare Professionals.

4. Account Registration

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are solely responsible for all activity that occurs under your account. You must notify us immediately through our contact form if you suspect unauthorized access to your account.

5. Subscription, Pricing, and Payment

The Service is offered on an annual subscription basis at the price listed on our pricing page (currently $99 per year). Subscriptions are billed annually in advance. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms.

We reserve the right to modify pricing at any time. Price changes will take effect at the start of your next billing cycle, and we will provide at least 30 days' prior notice of any increase. Continued use of the Service after a price change constitutes acceptance of the new pricing.

6. Free Trial

DocPharma may offer a free trial period at its discretion. During the trial, you will have access to the full functionality of the Service. At the end of the trial period, your account will automatically convert to a paid subscription unless you cancel before the trial expires. You will be notified before any charges are made.

7. User Conduct and Acceptable Use

You agree that you will not:

  • Use the Service to capture, store, or process data of any individual without a legitimate business purpose or in violation of applicable privacy laws.
  • Use the AI-generated follow-up communications or VOC insights to engage in false, misleading, or off-label promotional activity.
  • Scan badges or capture data at events where such capture is prohibited by the event organizer.
  • Share your account credentials with any third party or allow multiple individuals to use a single account.
  • Attempt to reverse-engineer, decompile, or otherwise extract the source code of the Service or its AI models.
  • Use the Service to transmit malware, spam, or other harmful content.
  • Resell, sublicense, or commercially exploit the Service without prior written consent from DocPharma.

8. Intellectual Property

All content, technology, features, and functionality of the Service, including but not limited to the AI models, badge recognition algorithms, VOC analysis frameworks, and user interface designs, are the exclusive property of DocPharma Consulting LLC and are protected by United States and international intellectual property laws.

You retain ownership of the data you input into the Service, including badge images, voice recordings, and conversation notes ("User Data"). By using the Service, you grant DocPharma a limited, non-exclusive license to process your User Data solely for the purpose of providing and improving the Service.

9. AI-Generated Content Disclaimer

The Service uses artificial intelligence to generate HCP intelligence summaries, follow-up communications, VOC insights, and conference reports. All AI-generated content is provided for informational and productivity purposes only. You are solely responsible for reviewing, editing, and approving all AI-generated content before sending or distributing it. DocPharma makes no warranty as to the accuracy, completeness, or regulatory compliance of any AI-generated output. AI-generated follow-up communications should not be considered medical advice, legal counsel, or compliant promotional material unless independently verified by you.

10. Data Accuracy and HCP Information

The HCP intelligence features aggregate publicly available information from third-party sources, including publication databases, news outlets, and corporate disclosures. DocPharma does not guarantee the accuracy, timeliness, or completeness of this information. You acknowledge that HCP data may contain errors or omissions and agree to verify critical information independently before acting upon it.

11. Service Availability and Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, upgrades, or circumstances beyond our control. DocPharma reserves the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice to active subscribers.

12. Termination

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. DocPharma may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or use the Service in a manner that could expose DocPharma to legal liability. Upon termination, your right to access the Service ceases immediately. You may request export of your User Data for up to 30 days following termination.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOCPHARMA CONSULTING LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless DocPharma Consulting LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, your violation of any applicable law or regulation, or the content of any communications you send using the Service.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida. You consent to the personal jurisdiction of such courts.

16. Changes to These Terms

DocPharma reserves the right to update or modify these Terms at any time. We will notify you of material changes by email or through the Service at least 15 days before the changes take effect. Your continued use of the Service after the effective date of any modification constitutes acceptance of the revised Terms.
